Terms of Service

1. Agreement to terms

These Terms of Service are a legally binding agreement between you, whether personally or on behalf of an entity (“you”), and Surepay Technologies(“Surepay”, “we”, “us” or “our”), concerning your access to and use of the Surepay application and website (the “Service”).

By accessing the Service, you confirm that you have read, understood and agreed to be bound by these terms. If you do not agree with all of them, you must stop using the Service.

2. Eligibility and your account

By using the Service, you represent and warrant that:

• you are at least 18 years old and have the legal capacity to enter into these terms;
• all registration information you submit is true, accurate, current and complete;
• you will keep that information accurate and update it promptly when it changes;
• you will not access the Service through automated or non-human means, whether through a bot, script or otherwise;
• you will not use the Service for any illegal or unauthorised purpose.

You are responsible for keeping your password, transaction PIN and device secure, and for all activity carried out with your account. Tell us immediately if you suspect unauthorised access.

3. Identity verification

To comply with Nigerian financial regulations and to protect users from fraud, we may ask you to verify your identity using your BVN or NIN and a facial photo. We may limit, suspend or decline to provide some features until verification is complete.

4. Wallet and funding

• Your Surepay wallet holds value in Nigerian Naira that you can use to pay for services in the App. It is not a bank account and does not earn interest.
• You fund your wallet by transferring money to the dedicated account number shown in the App, or through other funding methods we make available.
• Dedicated account numbers are issued through our licensed payment partners and remain subject to their terms.

5. Services provided by third parties

Airtime, data, electricity, cable TV, education PINs, insurance, flights, gift cards and betting wallet funding are supplied by third-party providers. Surepay acts as the payment channel. The provider is responsible for the product or service itself, and its own terms apply in addition to these. Betting wallet funding is available only to users aged 18 and over.

You are responsible for entering the correct phone number, meter number, smartcard number, account ID or recipient details. A payment sent to details you entered incorrectly may not be recoverable.

6. Payment and fees

Surepay charges a nominal fee for certain bill payment services to cover processing costs. Any fee is clearly displayed before you confirm a transaction.

7. Refunds

All payments are final once the service has been delivered. Refunds are processed only where a service was not delivered due to a technical error on our part or on the part of our partners. In those cases the amount is reversed to your wallet.

8. Prohibited use

You agree not to:

• use the Service for fraud, money laundering or any unlawful activity;
• use another person’s account or identity, or provide false information;
• interfere with, probe or attempt to bypass the security of the Service;
• copy, reverse engineer or resell any part of the Service without our permission.

9. Suspension and termination

We may suspend or close your account, or reverse a transaction, if we reasonably believe you have breached these terms, if required by law, or to protect you, other users or Surepay from fraud or loss. You may stop using the Service and request deletion of your account at any time on our Delete Account page.

10. Intellectual property rights

Unless otherwise indicated, the Service is our proprietary property. All source code, databases, functionality, software, designs, text and graphics in the Service, and the trademarks, service marks and logos contained in it, are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws. Third-party names and logos belong to their respective owners.

11. Disclaimers

The Service is provided on an “as is” and “as available” basis. We work to keep it available and accurate, but we do not guarantee that it will be uninterrupted or error free, or that third-party providers will always be available.

12. Limitation of liability

To the fullest extent permitted by law, we and our directors, employees and agents will not be liable to you or any third party for any indirect, consequential, exemplary, incidental, special or punitive damages, including lost profit, lost revenue or loss of data, arising from your use of the Service, even if we have been advised of the possibility of such damages. Nothing in these terms limits liability that cannot be limited under Nigerian law.

13. Privacy

Our Privacy Policy explains how we collect and use your personal data. It forms part of these terms.

14. Changes to these terms

We may update these terms from time to time. We will change the “Last updated” date above and, for significant changes, notify you in the App or by email. Continuing to use the Service after changes take effect means you accept the updated terms.

15. Governing law

These terms are governed by the laws of the Federal Republic of Nigeria. You and Surepay irrevocably agree that the courts of Nigeria have exclusive jurisdiction to resolve any dispute arising in connection with these terms.
